As a Member of our Affiliate Program, you may post Affiliate Links on your web site. Visitors to your site can quickly click through to www.mid-east.com via your Affiliate Links. If they make a purchase from our web site during their Direct Click Through Session, you will receive Referral Rewards of 20% of the total Applicable Product Cost.

Our Affiliate Program is easy to join.

3. You will receive a special code for linking to www.mid-east.com.

Affiliate Agreement

This agreement contains the complete terms and conditions that apply to an individual's or entity's participation in the Mid-East Mfg., Inc. (Mid-East Mfg) Affiliate Program (the "Program"). As used in this Agreement, "we" means Mid-East Mfg and "you" means the applicant. "Site" means a World Wide Web site and, depending on the context, refers either to mid-east.com or to the site that you will link to our site (and which you will identify in your Affiliate Application).

Affiliate Application

All Affiliate Applications submitted via our web site will be reviewed in good faith. Acceptance or rejection of an application is at the sole discretion of Mid-East Mfg. You will be notified of acceptance or rejection. Affiliate Applications may be rejected if your site deals with subject matters that Mid-East Mfg in its sole discretion, considers as inappropriate. Inappropriate subject matters may include:

sites with sexually explicit materials
sites supporting or advocating violence
sites supporting or advocating discrimination
sites supporting or advocating illegal activities
sites that violate intellectual property rights
sites promoting gambling

Members participating in the Mid-East Mfg Affiliate Program agree to maintain web sites that do not display or promote such inappropriate materials. If your application is rejected, you are welcome to reapply to the Affiliate Program at any time. If an Affiliate Application is accepted and you are later deemed to be maintaining a web site with inappropriate materials, Mid-East Mfg, in its sole discretion, may terminate your membership in the Affiliate Program.

Affiliate Links

Once an application is accepted you will be supplied with several Affiliate Links. You choose the one that is best for your website. Your Affiliate Links will be encoded with a unique code to track your visitors’ Direct Click Through Sessions to the www.mid-east.com website. You may modify the target address parameters to feature specific products or a specific page at www.mid-east.com. Click here for details. Mid-East Mfg reserves and retains all rights in the graphic image, data, text, or other information, our trade names and trademarks, and all other intellectual property rights.

Direct Click Through Session

A Direct Click Through Session begins when a visitor clicks on a member’s Affiliate Link and goes to www.mid-east.com and ends when the visitor leaves or disconnects from www.mid-east.com. Any purchases made during this Direct Click Through Session will be tracked for purposes of calculating your Referral Rewards. Any returning visitor to your site who clicks on your Affiliate Link will initiate a new Direct Click Through Session. Once your visitor has clicked through to www.mid-east.com they are considered a customer of Mid-East Mfg. Purchases must be completed via the www.mid-east.com shopping cart during the visitor’s Direct Click Through Session to be eligible for Referral Rewards.

Any subsequent visits to www.mid-east.com that are not derived as a Direct Click Through Session from your Affiliate Links will not be tracked and are not eligible for Referral Rewards. In other words; if the customer returns to www.mid-east.com via a bookmark, search engine, or other means (other than an Affiliate Link) and makes a purchase, this purchase is not eligible for Referral Rewards.

Applicable Product Costs

Applicable Product Costs are the subtotal of the costs of all products purchased during the Direct Click Through Session minus any subsequent returns or cancellations. Applicable Product Costs are calculated from the sale price, not list price, and do not include: taxes, packaging, handling or shipping costs. All products (including “Seconds”, “Overstocked”, and “Discontinued”) are eligible for Referral Rewards.

Purchases not eligible for Referral Rewards are Wholesale Orders, Teacher Discount Orders, Recording Artist Discount Orders, Web Link Discount Orders, any other discount programs that we periodically may establish and purchases shipped outside the United States. These purchases earn no Referral Rewards.

We reserve the right to reject orders that do not comply with any requirements that we periodically may establish.

Referral Rewards

Referral Rewards will be calculated at 20% of the Applicable Product Costs. Purchases eligible for Referral Rewards must be made during the Direct Click Through Session and shipped within the United States. International purchases are not eligible for Referral Rewards.

Members Limitations and Responsibilities

By participating in this Affiliate Program, you acknowledge and agree that: A) you will use only the graphic image, data, text, or other information supplied to you by Mid-East Mfg in a lawful manner, B) you will not alter, modify or edit said graphic image, data, text, or other information except to resize it and modify the target address parameters, C) you will not, by any means (i.e. pop ups, frames, borders, or other form) embellish the Affiliate Link so as to imply that Mid-East Mfg supports or is partnered in any cause you may advocate on your web site, D) you will not purchase products via the Affiliate Link on your site, E) you will not purchase or register any keywords, search terms, or other identifiers that include the words: “Mid-East Mfg. Inc.” "Mid-East.com” “Ethnic Musical Instrument Company TM” or variations thereof for use in any search engine, or referral service, F) you will not violate any intellectual property rights, G) you acknowledge that, Mid-East Mfg may receive information from or about visitors to your site for purposes of tracking Applicable Product Costs, H) you will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site, and I) you will not claim or imply that you represent Mid-East Mfg and you will not claim or imply that you have authority to make or accept any offers on behalf of Mid-East Mfg.

Customer Service

Mid-East Mfg will process orders placed by customers who click through via Affiliate Links from your site to our site. We reserve the right to reject orders that do not comply with existing policy or any requirements that may be established. Mid-East Mfg will provide all customer service including: processing orders, shipping, tracking, cancellations, returns, and customer product inquiries.

Customer Information

Mid-East Mfg will collect personal information from/about customers that is required to process orders and handle customer service. This information is proprietary and confidential. Mid-East Mfg reserves the right to contact these customers in the future for promotional purposes.

Tracking Member’s Referrals

Mid-East Mfg will track all Applicable Product Costs generated by the Direct Click Through Session via your Affiliate Link. Mid-East Mfg will maintain and, by request, make available to you, reports summarizing this sales activity. Accounting of Applicable Product Costs for the member’s Referrals Rewards will be tabulated quarterly. Returns and cancellations will be tracked and subtracted from Applicable Product Costs.

Referral Rewards Payment

To provide time to track returns and cancellations, Referral Reward payments will be made by check approximately 30 days past the end of each quarter; March 31, June 30, September 30 and December 31. Payments will be made only for member’s accounts that have accrued $30 or more. If the Referral Reward is less than $30 for any quarter, the accrued amount will roll over into the next quarter.

Term of Membership

The term of your membership will begin upon the acceptance by Mid-East Mfg of your Affiliate Application and can be terminated by either party, with or without cause, by giving the other party written notice of termination. If your membership is terminated, you will immediately cease use of, and remove from your site, all Affiliate Links to our site. Final Referral Reward payment will be made in accordance with the Referral Rewards Payment section.

Modification of Affiliate Program Policies

Mid-East Mfg may modify the Policies and Terms of this Affiliate Program at any time and at the sole discretion of Mid-East Mfg, by posting a change notice or a new agreement on our website. Your continuation in the Affiliate Program, after posting of modifications, constitutes acknowledgement and acceptance of all Policies, Terms, and modifications. If you find any modifications unacceptable, your only recourse is to terminate your membership in the Affiliate Program.

Relationship of Parties

This Affiliate Program establishes no partnership, implied or explicit, between Mid-East Mfg and Members of the Affiliate Program. Creating an Affiliate Link on your site does not constitute employment, partnership, joint venture, or a position of representation with Mid-East Mfg. You have no authority to make or accept any offers or representations on the behalf of Mid-East Mfg. You will not make any statement, written or otherwise, that contradicts anything in this Section.

Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent Investigation

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Acknowledgement

By submitting an Affiliate Application you acknowledge that you have read this agreement and agree to all its terms and conditions.
